Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Amnetic website, software platform, application programming interfaces (APIs), artificial intelligence evaluation environment, and related products and services (collectively, the "Marketplace"), which are owned and operated by Amnetic AI, Inc., a Delaware corporation ("Amnetic," "we," "us," or "our").

By creating an account, accessing, or using the Marketplace, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference. If you do not agree to these Terms, you may not access or use the Marketplace.

IMPORTANT: These Terms contain provisions that affect your legal rights, including a binding arbitration agreement, a waiver of class actions, disclaimers of warranties, and limitations of liability. Please read these Terms carefully before accessing or using the Marketplace.

1. Overview and Acceptance of Terms

Amnetic is an online marketplace platform that connects sellers of data, datasets, and other digital information products ("Sellers") with individuals and organizations seeking to discover, evaluate, license, or purchase such information ("Buyers") (each, a "User" and collectively, the "Users"). Through the Marketplace, Sellers may list Data Products for evaluation and licensing, Buyers may search for and evaluate Data Products through authorized Buyer Agents and other Marketplace tools, and Users may access related services made available by Amnetic and its third-party service providers.

By accessing or using the Marketplace, you represent and warrant that: (a) you are at least eighteen (18) years of age; (b) you have the legal authority and capacity to enter into these Terms; (c) all information you provide to Amnetic is accurate, current, and complete; and (d) your access to and use of the Marketplace will comply with these Terms and all applicable laws and regulations. If you access or use the Marketplace on behalf of a corporation, limited liability company, partnership, governmental entity, or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms, in which case "you" and "your" refer to both you and that entity.

2. Definitions

For purposes of these Terms, the following capitalized terms have the meanings set forth below:

"Amnetic Wall" means Amnetic's proprietary technical and logical evaluation environment in which Buyer Agents and Amnetic's internal systems may evaluate Data Products without permitting unauthorized extraction, retention, or disclosure of the underlying information except as expressly permitted through the Marketplace.

"Buyer" means a User that accesses or uses the Marketplace to discover, evaluate, license, or purchase one or more Data Products, whether directly or through a Buyer Agent.

"Buyer Agent" means any artificial intelligence agent, automated system, software application, script, bot, or other technology operated by or on behalf of a Buyer to access, evaluate, search, interact with, or transact through the Marketplace.

"Data Product" means any dataset, information, digital content, metadata, or other data asset made available by a Seller for evaluation, licensing, or purchase through the Marketplace.

"Fit Verdict" means the evaluation or recommendation generated by a Buyer Agent or the Marketplace regarding the suitability or relevance of a Data Product for a Buyer's intended purpose. A Fit Verdict does not include the underlying Data Product itself and does not constitute a guarantee of accuracy, suitability, or performance.

"Marketplace" means the Amnetic website, software platform, APIs, AI evaluation environment, and related products, features, tools, and services through which Buyers and Sellers discover, evaluate, license, and transact in Data Products.

"Seller" means a User that submits, lists, licenses, or otherwise makes one or more Data Products available through the Marketplace.

"Trust Score" means Amnetic's proprietary evaluation metric or confidence score that estimates the relative trustworthiness, reliability, or likelihood that a Data Product or related information is accurate or truthful. Trust Scores are provided solely as informational tools and do not constitute representations or warranties regarding any Data Product.

"User" means any individual or entity that accesses or uses the Marketplace, including Buyers, Sellers, and any authorized representatives acting on their behalf.

"User Content" means any Data Product, text, files, prompts, metadata, comments, feedback, communications, information, or other content submitted, uploaded, transmitted, or otherwise made available by a User through the Marketplace.

3. Eligibility and Account Registration

3.1 Age and Legal Capacity

The Marketplace is intended solely for individuals who are at least eighteen (18) years of age. By creating an account or using the Marketplace, you represent and warrant that you are at least eighteen (18) years old, have the legal capacity to enter into these Terms, and will comply with all applicable laws. Amnetic reserves the right to request proof of age, identity, or authority at any time and may suspend or terminate any account that fails to satisfy these eligibility requirements.

3.2 Account Registration

To access certain features of the Marketplace, you must create an account. You agree to:

• provide accurate, current, and complete registration information;
• maintain and promptly update your account information;
• maintain the confidentiality and security of your login credentials, API keys, access tokens, and other authentication credentials;
• not permit any unauthorized person or system to access or use your account or credentials; and
• promptly notify Amnetic of any unauthorized use of your account, credentials, Buyer Agent, or any other suspected security incident.

You are responsible for all activities occurring under your account, including the activities of any Buyer Agent or other automated system operating under your account or credentials, until you notify Amnetic of unauthorized access and Amnetic has had a reasonable opportunity to respond.

3.3 Identity Verification (KYC)

Amnetic may require Users to complete identity verification, Know Your Customer ("KYC"), Anti-Money Laundering ("AML"), sanctions screening, beneficial ownership verification, or other compliance procedures before accessing certain Marketplace features, listing Data Products, purchasing Data Products, receiving payments, or otherwise participating in Marketplace transactions.

Identity verification services may be performed by one or more independent third-party service providers designated by Amnetic. By submitting information for verification, you authorize Amnetic and its verification providers to collect, process, and verify your information as reasonably necessary to provide the Marketplace and comply with applicable laws and regulations.

Amnetic may rely on the results of any verification process but does not guarantee the accuracy, completeness, availability, or continued operation of any third-party verification service and is not responsible for any delays, errors, or determinations made by those providers. Amnetic reserves the right to suspend, restrict, or terminate any account that fails to complete or maintain satisfactory verification.

3.4 Responsible Buyer Verification

Certain Marketplace functionality, including the operation of Buyer Agents with access to non-public Data Products or other advanced Marketplace features, may require verification of a Responsible Buyer.

A Responsible Buyer is the individual or legal entity designated as ultimately responsible for the actions of one or more Buyer Agents operating through the Marketplace. Amnetic may require the Responsible Buyer to complete identity verification, provide beneficial ownership information, execute additional agreements, or satisfy other verification requirements before granting or maintaining access to such functionality.

The Responsible Buyer remains responsible for all actions taken by Buyer Agents operating under its account or authority and for ensuring compliance with these Terms, regardless of whether those actions are performed autonomously or through automated systems.

3.5 Seller Registration

Users wishing to offer Data Products through the Marketplace may be required to provide additional information regarding their identity, business, ownership, authority, or rights in the Data Products they submit.

By registering as a Seller, you represent and warrant that you possess all rights, licenses, permissions, and authority necessary to list, license, and sell your Data Products through the Marketplace and that your listings comply with these Terms and all applicable laws.

4. Marketplace Services

4.1 Marketplace Services

Amnetic provides an online marketplace through which Sellers may list, license, and make available Data Products, and Buyers may discover, evaluate, license, and purchase such Data Products using the Marketplace and its related features and services. The Marketplace may include search tools, Buyer Agents, application programming interfaces (APIs), evaluation tools, analytics, and other functionality made available by Amnetic from time to time.

4.2 Amnetic's Role: Marketplace Provider Only

Amnetic provides the Marketplace and related services solely as an intermediary between Buyers and Sellers. Amnetic does not create, own, sell, license, endorse, verify, or guarantee any Data Product offered through the Marketplace and is not a party to any transaction, license, or other agreement entered into between Buyers and Sellers.

Amnetic does not act as an agent, broker, reseller, distributor, fiduciary, or representative of any User. Amnetic makes no representations or warranties regarding the accuracy, quality, legality, ownership, availability, or fitness of any Data Product or the qualifications, authority, or conduct of any User.

4.3 Transactions Between Buyers and Sellers

Any purchase, license, or other transaction involving a Data Product is entered into directly between the applicable Buyer and Seller. Each Buyer and Seller is solely responsible for evaluating, negotiating, entering into, performing, and enforcing the terms applicable to its transactions.

Except as expressly provided in these Terms or required by applicable law, Amnetic does not mediate disputes between Buyers and Sellers and is not responsible for the acts, omissions, or performance of any User.

4.4 Ownership of Data Products

Sellers retain all right, title, and interest in and to their respective Data Products, subject only to the licenses granted to Amnetic under these Terms. Listing a Data Product on the Marketplace does not transfer ownership of the Data Product to Amnetic.

4.5 Limited License to Use the Marketplace

Subject to your continued compliance with these Terms, Amnetic grants you a limited, non-exclusive, non-transferable, non-sublicensable, and revocable license to access and use the Marketplace solely for its intended purposes. Except for the limited rights expressly granted in these Terms, Amnetic reserves all right, title, and interest in and to the Marketplace, including its software, APIs, artificial intelligence systems, evaluation technologies, algorithms, models, trademarks, and all related intellectual property.

5. Buyer Terms

5.1 Responsibility for Buyer Agents

You are solely responsible for all actions taken by any Buyer Agent operating under your account or on your behalf. Any action, instruction, request, purchase, or other activity performed by a Buyer Agent will be deemed to have been authorized by you and will be treated as your own act for purposes of these Terms. You are responsible for configuring, supervising, and monitoring your Buyer Agents and for ensuring that they operate in compliance with these Terms and all applicable laws.

5.2 Buyer Agent Operation

To improve the functionality, security, and operation of the Marketplace, Amnetic may modify the operating environment, execution context, available tools, prompts, memory, or instructions provided to Buyer Agents while they are operating within the Marketplace. You acknowledge and agree that such modifications are an inherent part of the Marketplace and do not alter your responsibility for your Buyer Agent's actions.

5.3 Evaluation Environment

Data Products made available through the Marketplace may be evaluated by Buyer Agents within Amnetic's proprietary evaluation environment (the "Amnetic Wall"). The Amnetic Wall is designed to permit Buyer Agents to evaluate Data Products without permitting unauthorized extraction, retention, or disclosure of the underlying information except as expressly permitted through the Marketplace.

Access to the Amnetic Wall does not grant you any ownership rights or license to access, retain, reproduce, or use any Data Product except as expressly authorized by these Terms or any applicable license governing the purchased Data Product.

5.4 No Unauthorized Extraction

You may not, directly or indirectly, access, copy, reproduce, download, retain, reconstruct, derive, export, or otherwise extract any Data Product or other information from the Marketplace except as expressly authorized following a completed transaction or as otherwise permitted by these Terms.

Prohibited conduct includes attempting to reconstruct Data Products through repeated queries, prompt engineering, inference attacks, pattern recognition, encoded outputs, automated collection techniques, or any other method intended to circumvent the Marketplace's technical or contractual restrictions.

5.5 No Circumvention or Security Bypass

You may not attempt to bypass, disable, defeat, probe, test, or otherwise circumvent any security feature, access restriction, monitoring system, safeguard, watermark, or technological protection measure implemented by Amnetic, including any protections associated with the Amnetic Wall.

You further agree not to attempt to jailbreak, manipulate, override, interfere with, or cause any Buyer Agent or Marketplace system to disregard its intended operating restrictions or security controls.

5.6 Sandbox Environment

Amnetic may provide one or more sandbox or testing environments that allow Buyers to evaluate or test Buyer Agents without access to live Marketplace data. Sandbox environments are provided solely for testing purposes and remain subject to these Terms, including all restrictions relating to security, reverse engineering, circumvention, and unauthorized access.

5.7 Automated Purchases

You are solely responsible for all purchases, licenses, transactions, and other activities initiated or authorized by your Buyer Agents. You acknowledge that Buyer Agents may initiate transactions automatically based upon your instructions, configurations, or authorization.

Except as otherwise expressly provided in these Terms or required by applicable law, purchases initiated by your Buyer Agents will be treated as purchases made by you.

5.8 No Circumvention of the Marketplace

You may not use the Marketplace to identify Sellers or Data Products and then seek to acquire substantially similar data or otherwise transact directly with a Seller for the purpose of avoiding Marketplace fees, policies, verification procedures, or other Marketplace protections.

This restriction applies during your use of the Marketplace and for twelve (12) months following any introduction or transaction facilitated through the Marketplace.

5.9 Reverse Engineering

Except to the extent prohibited by applicable law, you may not reverse engineer, decompile, disassemble, decode, analyze, benchmark, or otherwise attempt to discover the source code, algorithms, models, security architecture, or underlying operation of the Marketplace, the Amnetic Wall, Trust Score methodology, or any related software, artificial intelligence system, or technology made available by Amnetic.

6. Seller Terms

6.1 Ownership of Data Products

You retain all right, title, and interest in and to your Data Products, including any associated intellectual property rights, subject only to the licenses granted to Amnetic under these Terms. Listing a Data Product on the Marketplace does not transfer ownership of that Data Product to Amnetic or any Buyer.

6.2 Right to List and License Data Products

By listing a Data Product on the Marketplace, you represent and warrant that: (a) you own or otherwise possess all rights, licenses, permissions, and authority necessary to list, license, and sell the Data Product through the Marketplace; (b) your listing and any resulting transaction do not violate any applicable law, contract, confidentiality obligation, privacy right, or intellectual property right; (c) you have obtained any consents or permissions necessary to make the Data Product available through the Marketplace; and (d) your listing complies with these Terms and all applicable laws and regulations. You remain solely responsible for your Data Products and for any representations or warranties you make regarding them.

6.3 Attestation

Amnetic may permit or require Sellers to provide certifications, representations, statements, or other information regarding a Data Product (collectively, "Attestations"), including ownership, licensing authority, provenance, legal compliance, or other characteristics of the Data Product. Sellers are solely responsible for the accuracy and completeness of their Attestations. Amnetic does not independently verify Attestations and makes no representation or warranty regarding their accuracy or completeness.

6.4 Listing Accuracy

You agree that all Data Products, descriptions, metadata, pricing, and other information submitted to the Marketplace will be accurate, complete, and not misleading. You will promptly update or remove any listing that becomes materially inaccurate or misleading. Amnetic does not independently verify the accuracy, completeness, legality, or quality of any Data Product.

6.5 Prohibited Data

You may not submit, list, or otherwise make available through the Marketplace any Data Product that:

• violates applicable law;
• infringes or misappropriates the intellectual property or other rights of any third party;
• contains personal information or regulated data that you are not legally authorized to disclose or license;
• contains malicious code, malware, or other harmful components; or
• is otherwise prohibited by these Terms or any applicable Marketplace policy.

Amnetic reserves the right to remove or restrict any Data Product that it reasonably believes violates these Terms or applicable law.

6.6 Pricing

Unless otherwise specified by Amnetic, Sellers are solely responsible for establishing the pricing of their Data Products. Sellers are responsible for ensuring that all pricing information is accurate and current.

Amnetic reserves the right to modify how prices are displayed, presented, or offered through the Marketplace and may introduce additional pricing models, promotional programs, or marketplace features from time to time.

6.7 Data Integrity and Watermarking

To protect the integrity of the Marketplace and detect unauthorized use of Data Products, Amnetic may apply watermarking, fingerprinting, metadata tagging, non-destructive modifications, or similar technologies to Data Products made available through the Marketplace.

You acknowledge and agree that such measures are intended to protect the Marketplace, Buyers, Sellers, and Data Products and do not affect your ownership of the underlying Data Product.

6.8 Trust Scores and Marketplace Evaluation

Amnetic may evaluate Data Products using proprietary methodologies, including Trust Scores and other evaluation metrics or analytical tools. Such evaluations are intended to assist Buyers in assessing Data Products and to improve the operation of the Marketplace.

You acknowledge and agree that Amnetic may generate, modify, update, or display Trust Scores and other derived information relating to your Data Products. Trust Scores and similar evaluations are proprietary to Amnetic and do not constitute representations or warranties regarding any Data Product.

6.9 Listing Management

Amnetic reserves the right, in its reasonable discretion, to review, rank, de-rank, suspend, restrict, remove, or decline to publish any Data Product or listing that violates these Terms, creates legal or operational risk, duplicates existing Marketplace content, or otherwise interferes with the integrity or operation of the Marketplace. Except where required by applicable law, Amnetic has no obligation to provide advance notice or an explanation before taking any such action.

6.10 Operational Access

You acknowledge that authorized Amnetic personnel may access Data Products and related information when reasonably necessary to operate, maintain, secure, troubleshoot, support, or improve the Marketplace, subject to Amnetic's internal security and confidentiality controls.

6.11 Listing Removal

Subject to any pending transactions or legal obligations, you may remove a Data Product from the Marketplace at any time through the Marketplace's available functionality or by contacting Amnetic. Removal of a Data Product prevents future transactions but does not affect transactions completed before removal or Amnetic's rights to retain information as permitted by these Terms, the Privacy Policy, or applicable law.

7. Transactions, Fees, and Payments

7.1 Payment Processor

Amnetic uses one or more independent third-party payment processors, including Stripe, to facilitate payments made through the Marketplace. By using the Marketplace's payment features, you agree to comply with the applicable payment processor's terms, conditions, and privacy policy. Amnetic may change or add payment processors from time to time without notice.

Amnetic does not control, and is not responsible for, the services, availability, security, policies, or acts or omissions of any third-party payment processor. All payment transactions are subject to the applicable payment processor's approval, policies, and procedures.

7.2 Amnetic's Role in Marketplace Transactions

Amnetic facilitates transactions between Buyers and Sellers but is not a bank, escrow agent, payment processor, financial institution, or party to any transaction involving a Data Product.

All payments made through the Marketplace are processed by independent third-party payment processors. Buyer payments are made to Amnetic through its payment processor and are recorded as a credit balance on the Buyer's account. Credits may be used only to pay for Data Products and other Marketplace services and cannot be withdrawn or redeemed for cash, except as required by applicable law or as expressly stated by Amnetic. When a Buyer purchases a Data Product, Amnetic credits the Seller's account with the purchase price less applicable Marketplace fees, and pays the Seller's available balance to the Seller's connected account with the payment processor, subject to the payment processor's requirements, including identity verification and any minimum payout amount.

Amnetic is not responsible for payment processing delays, payment failures, declined transactions, or the acts or omissions of any payment processor or financial institution.

7.3 Marketplace Fees

Amnetic may charge Buyers, Sellers, or both Marketplace service fees in connection with listings, purchases, subscriptions, or other Marketplace services. Any applicable fees will be disclosed before the applicable transaction is completed.

Amnetic reserves the right to modify its fees at any time upon reasonable notice, including by posting updated fee schedules through the Marketplace. Your continued use of the Marketplace following the effective date of any fee change constitutes your acceptance of the revised fees.

Unless otherwise expressly stated, all fees are exclusive of applicable taxes, payment processor fees, and other third-party charges, which remain your responsibility.

7.4 Taxes

AMNETIC DOES NOT PROVIDE LEGAL, TAX, OR ACCOUNTING ADVICE.

Each User is solely responsible for determining, reporting, collecting, remitting, and paying any taxes arising from its activities on or through the Marketplace, including any applicable income, sales, use, value-added (VAT), goods and services (GST), withholding, or similar taxes.

Amnetic may provide transaction history or payment information for your convenience. Such information is provided for informational purposes only and should not be considered an official accounting record, tax document, or financial statement. Users are responsible for maintaining their own books and records and should consult their own legal, tax, or accounting advisors regarding their reporting obligations.

7.5 Refunds

Except as otherwise required by applicable law or expressly stated by Amnetic, purchases of Data Products are final and non-refundable. Notwithstanding the foregoing, Amnetic may, in its sole discretion, review and resolve refund requests involving fraudulent transactions, material inaccuracies in a Data Product, technical failures attributable to the Marketplace, or other circumstances that Amnetic determines warrant relief.

Submission of a refund request does not guarantee that a refund will be issued. Amnetic reserves the right to determine refund eligibility, request supporting information, and issue full, partial, or no refund based on the facts and circumstances of each request.

7.6 Chargebacks and Payment Disputes

Users are responsible for all transactions initiated through their accounts, including transactions initiated by Buyer Agents. If you believe a transaction was unauthorized or made in error, you should promptly notify Amnetic and the applicable payment processor or financial institution.

Amnetic reserves the right, in its reasonable discretion, to investigate disputed, fraudulent, unauthorized, or suspicious transactions and may suspend or terminate accounts that engage in excessive chargebacks, payment disputes, fraudulent activity, abuse of the refund process, or violations of these Terms.

To the fullest extent permitted by applicable law, Users remain responsible for any chargebacks, payment reversals, processor fees, penalties, or other losses resulting from fraudulent activity, misuse of the Marketplace, or violations of these Terms.

8. User Conduct and Prohibited Uses

8.1 General Conduct Standards

You agree to access and use the Marketplace only in accordance with these Terms and all applicable laws and regulations. You are solely responsible for your conduct, the conduct of any person using your account, and the conduct of any Buyer Agent or other automated system operating on your behalf.

8.2 Prohibited Activities

Without limiting the foregoing, you agree that you will not:

• Misrepresent your identity, authority, affiliation, ownership of Data Products, or other qualifications;
• Submit false, fraudulent, deceptive, misleading, or inaccurate information or listings;
• List, license, purchase, or distribute any Data Product in violation of applicable law or the rights of any third party;
• Upload, transmit, or distribute malware, viruses, ransomware, malicious code, or other harmful software through the Marketplace;
• Attempt to gain unauthorized access to the Marketplace, other User accounts, APIs, systems, or infrastructure;
• Circumvent, disable, interfere with, probe, or otherwise bypass any security feature, access restriction, authentication mechanism, watermark, monitoring system, or technological protection measure implemented by Amnetic;
• Reverse engineer, decompile, disassemble, decode, analyze, benchmark, or otherwise attempt to discover the source code, algorithms, models, security architecture, or underlying operation of the Marketplace, the Amnetic Wall, Trust Score methodology, or any related software or artificial intelligence system;
• Use prompt injection, jailbreak techniques, adversarial prompts, manipulation, or other methods intended to alter, override, evade, or compromise the intended operation of Buyer Agents, Trust Scores, the Amnetic Wall, or any other Marketplace functionality;
• Scrape, crawl, harvest, copy, download, extract, reconstruct, or otherwise collect Data Products or Marketplace content through automated means except as expressly authorized by Amnetic;
• Attempt to reconstruct, infer, derive, or obtain Data Products through repeated queries, inference attacks, prompt engineering, encoded outputs, pattern recognition, or other techniques intended to circumvent Marketplace restrictions;
• Use the Marketplace, Data Products, User Content, or other Marketplace information to train, develop, fine-tune, validate, benchmark, or improve any artificial intelligence, machine learning model, large language model, or similar automated system without Amnetic's prior written consent;
• Use the Marketplace to identify a Seller or Data Product and then directly or indirectly transact with that Seller or otherwise circumvent the Marketplace to avoid Marketplace fees, verification requirements, or other Marketplace protections;
• Remove, alter, or circumvent any watermark, fingerprint, metadata, attribution, ownership notice, or other information intended to identify or protect a Data Product;
• Resell, sublicense, redistribute, publish, or otherwise transfer any Data Product except as expressly authorized by the applicable license or other written agreement;
• Share your account credentials, API keys, access tokens, or permit any unauthorized person or system to access your account;
• Use the Marketplace in any manner that interferes with, disrupts, overloads, degrades, or impairs the operation, integrity, security, or availability of the Marketplace or any related systems; or
• Violate these Terms or any Marketplace policy incorporated by reference.

8.3 Enforcement

Amnetic may investigate any suspected violation of this Section 8 and may take any action described in Section 15, including removing or restricting User Content or Data Products and suspending or terminating accounts.

9. Intellectual Property

9.1 Amnetic Intellectual Property

The Marketplace, including its software, source code, object code, APIs, user interface, design, graphics, logos, trademarks (including the "Amnetic" name and wordmark), service marks, artificial intelligence systems, algorithms, Trust Score methodologies, models, databases, the Amnetic Wall, documentation, and all other content and technology made available by Amnetic (collectively, the "Amnetic IP"), are the exclusive property of Amnetic or its licensors and are protected by United States and international intellectual property laws.

Subject to your continued compliance with these Terms, Amnetic grants you a limited, non-exclusive, non-transferable, non-sublicensable, and revocable license to access and use the Marketplace solely for its intended purposes. Except for the limited rights expressly granted under these Terms, no rights are granted in or to the Amnetic IP. You may not copy, modify, distribute, reproduce, create derivative works from, publicly display, reverse engineer, or otherwise exploit any Amnetic IP except as expressly authorized by these Terms or with Amnetic's prior written consent.

9.2 User Content and Data Products

As between you and Amnetic, you retain ownership of your User Content and, if you are a Seller, your Data Products. By submitting, uploading, listing, transmitting, or otherwise making User Content or Data Products available through the Marketplace, you grant Amnetic a worldwide, non-exclusive, royalty-free, fully paid, sublicensable (solely to Amnetic's service providers), and transferable license to host, store, reproduce, process, index, display, transmit, distribute internally, cache, analyze, evaluate, modify for technical purposes, and otherwise use such User Content and Data Products as reasonably necessary to:

• operate, maintain, secure, and improve the Marketplace;
• facilitate transactions between Buyers and Sellers;
• generate and display Trust Scores and other Marketplace evaluation metrics;
• create embeddings, indexes, metadata, and other derived analytical information;
• detect fraud, abuse, unauthorized access, or misuse of the Marketplace;
• apply watermarking, fingerprinting, metadata tagging, and other content protection technologies;
• develop, improve, validate, and operate Amnetic's Trust Score methodologies, fraud detection systems, search capabilities, and Marketplace functionality; and
• otherwise provide the Marketplace and related services contemplated by these Terms.

Except as expressly described in these Terms, the Privacy Policy, or as otherwise authorized by you, Amnetic does not acquire ownership of your User Content or Data Products.

9.3 Feedback

If you submit suggestions, ideas, feature requests, improvements, recommendations, bug reports, or other feedback regarding the Marketplace ("Feedback"), you grant Amnetic an irrevocable, perpetual, worldwide, royalty-free, fully paid, transferable, sublicensable license to use, reproduce, modify, commercialize, incorporate, publish, distribute, and otherwise exploit such Feedback for any lawful purpose without compensation or obligation to you.

9.4 Limited Trademark License

Amnetic owns all right, title, and interest in and to its trademarks, service marks, logos, trade dress, and brand names, including the AMNETIC name and any associated logos or marks (collectively, the "Amnetic Marks"). Subject to your continued compliance with these Terms, Amnetic grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to use the Amnetic Marks solely to truthfully identify your participation in or compatibility with the Marketplace or as otherwise expressly authorized in writing by Amnetic.

You may not use the Amnetic Marks in any manner that suggests sponsorship, endorsement, partnership, or affiliation beyond your actual relationship with Amnetic. All goodwill arising from your use of the Amnetic Marks inures exclusively to the benefit of Amnetic. This license automatically terminates upon termination of your account or any breach of these Terms.

10. Privacy and Data

Amnetic's collection, use, storage, disclosure, and processing of personal information is governed by the Amnetic Privacy Policy, which is incorporated into these Terms by reference. By accessing or using the Marketplace, you acknowledge that you have reviewed the Privacy Policy and consent to the data practices described therein.

Certain Marketplace features are provided through independent third-party service providers, including payment processors, identity verification providers, cloud hosting providers, artificial intelligence service providers, analytics providers, and other technology providers. Information you submit in connection with those services may be subject to the applicable third party's privacy policy and terms of service.

Amnetic is not responsible for the privacy, security, availability, or data handling practices of any third-party service provider. You acknowledge that your use of such third-party services is governed solely by the applicable third party's terms and policies.

11. Third-Party Services

The Marketplace may integrate with or provide access to third-party products, services, websites, software, APIs, artificial intelligence models, cloud infrastructure, payment processors, identity verification providers, analytics platforms, or other technology providers (collectively, "Third-Party Services"), including Stripe and other service providers designated by Amnetic from time to time.

Your use of any Third-Party Service is governed solely by the applicable third party's terms of service, privacy policy, and other applicable agreements. Amnetic does not control, endorse, or assume responsibility for any Third-Party Service, including its availability, security, functionality, accuracy, reliability, or performance.

Without limiting the foregoing, Amnetic is not responsible for:

• payment processing or financial services provided by Stripe or other payment processors;
• identity verification, Know Your Customer (KYC), Anti-Money Laundering (AML), or sanctions screening services performed by third-party verification providers;
• the availability, accuracy, reliability, or outputs of third-party artificial intelligence models or services integrated into or accessed through the Marketplace;
• the availability or performance of cloud hosting, storage, networking, or infrastructure providers;
• third-party APIs, integrations, software, websites, applications, or services that interact with the Marketplace; or
• any loss, damage, interruption, delay, or other issue arising from your use of or reliance upon any Third-Party Service.

Amnetic may add, remove, replace, or modify Third-Party Services at any time without notice and without liability to you. Your continued use of the Marketplace following any such change constitutes your acceptance of the applicable Third-Party Services supporting the Marketplace.

12. Disclaimers of Warranties

THE MARKETPLACE, ALL RELATED SERVICES, DATA PRODUCTS, TRUST SCORES, FIT VERDICTS, BUYER AGENTS, USER CONTENT, ARTIFICIAL INTELLIGENCE FEATURES, APIs, AND THIRD-PARTY SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, AMNETIC DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, COMPLETENESS, RELIABILITY, AVAILABILITY, SECURITY, PERFORMANCE, OR UNINTERRUPTED OPERATION.

Without limiting the foregoing, Amnetic does not warrant that:

• the Marketplace will be uninterrupted, error-free, secure, or free from viruses, malware, or other harmful components;
• any Data Product is accurate, complete, reliable, lawful, current, or suitable for any particular purpose;
• any Trust Score, Fit Verdict, Buyer Agent output, search result, recommendation, or other Marketplace evaluation accurately reflects the quality, truthfulness, completeness, or suitability of any Data Product;
• any Buyer Agent or artificial intelligence feature will operate without errors, produce accurate results, or meet your expectations;
• any User will comply with these Terms or perform its contractual obligations; or
• any Third-Party Service will be available, accurate, secure, reliable, or uninterrupted.

Amnetic is an intermediary that facilitates transactions between Buyers and Sellers. Amnetic does not create, own, verify, endorse, or guarantee any Data Product or any transaction between Users and makes no representation or warranty regarding the acts, omissions, qualifications, or conduct of any User.

Some jurisdictions do not permit the exclusion of certain warranties. In those jurisdictions, the foregoing disclaimers apply to the fullest extent permitted by applicable law.

13. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL AMNETIC AI, INC., ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, CONTRACTORS, AFFILIATES, SUCCESSORS, ASSIGNS, LICENSORS, OR SERVICE PROVIDERS (COLLECTIVELY, THE "AMNETIC PARTIES") BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, BUSINESS OPPORTUNITIES, GOODWILL, DATA, BUSINESS INTERRUPTION, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO: (A) YOUR ACCESS TO OR USE OF, OR INABILITY TO ACCESS OR USE, THE MARKETPLACE; (B) ANY DATA PRODUCT, PURCHASE, LICENSE, OR OTHER TRANSACTION BETWEEN USERS; (C) ANY TRUST SCORE, FIT VERDICT, BUYER AGENT OUTPUT, ARTIFICIAL INTELLIGENCE FEATURE, OR OTHER EVALUATION OR RECOMMENDATION PROVIDED THROUGH THE MARKETPLACE; (D) THE ACTS OR OMISSIONS OF ANY USER OR THIRD-PARTY SERVICE PROVIDER; (E) UNAUTHORIZED ACCESS TO, USE OF, OR ALTERATION OF YOUR ACCOUNT, DATA, OR USER CONTENT; OR (F) THESE TERMS OR ANY OTHER MATTER RELATING TO THE MARKETPLACE, REGARDLESS OF THE LEGAL THEORY ASSERTED AND EVEN IF AMNETIC HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

WITHOUT LIMITING THE FOREGOING, AMNETIC MAKES AVAILABLE TRUST SCORES, FIT VERDICTS, BUYER AGENTS, SEARCH RESULTS, AND OTHER ARTIFICIAL INTELLIGENCE FEATURES SOLELY AS INFORMATIONAL TOOLS TO ASSIST USERS. YOU ACKNOWLEDGE THAT YOU ARE SOLELY RESPONSIBLE FOR EVALUATING DATA PRODUCTS AND FOR ANY DECISIONS, PURCHASES, LICENSES, OR OTHER ACTIONS TAKEN IN RELIANCE ON SUCH INFORMATION.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE AMNETIC PARTIES' TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE MARKETPLACE OR THESE TERMS SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL FEES PAID BY YOU TO AMNETIC DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR (B) ONE HUNDRED UNITED STATES DOLLARS (US $100.00).

THE LIMITATIONS OF LIABILITY SET FORTH IN THESE TERMS ARE A FUNDAMENTAL BASIS OF THE BARGAIN BETWEEN YOU AND AMNETIC, APPLY REGARDLESS OF THE FORM OF ACTION OR LEGAL THEORY ASSERTED, AND SURVIVE THE TERMINATION OF THESE TERMS OR YOUR USE OF THE MARKETPLACE.

NOTHING IN THESE TERMS EXCLUDES OR LIMITS LIABILITY THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.

14. Indemnification

To the fullest extent permitted by applicable law, you agree to defend, indemnify, and hold harmless Amnetic AI, Inc. and its officers, directors, employees, agents, contractors, affiliates, successors, assigns, licensors, and service providers (collectively, the "Amnetic Parties") from and against any and all claims, demands, actions, proceedings, liabilities, damages, judgments, losses, fines, penalties, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your access to or use of the Marketplace; (b) your breach of these Terms or any representation, warranty, covenant, or obligation under these Terms; (c) your violation of any applicable law, regulation, court order, or the rights of any third party, including any intellectual property, privacy, publicity, confidentiality, contractual, or proprietary rights; (d) your User Content, Data Products, Buyer Agents, or any content, information, prompts, data, or other materials you submit, upload, transmit, list, or otherwise make available through the Marketplace; (e) your listing, licensing, purchase, use, resale, or other distribution of any Data Product, including any claim that you lacked the right to submit, license, purchase, or use such Data Product; (f) your use of Buyer Agents or other automated systems, including any unauthorized extraction of Marketplace content, circumvention of Marketplace safeguards, reverse engineering, prompt injection, jailbreak attempts, or other misuse of the Marketplace; (g) any transaction, license, or other relationship between you and another User, including any dispute relating to a Data Product or your failure to perform your obligations; or (h) any dispute between you and another User or any third party arising out of or relating to your use of the Marketplace.

Amnetic reserves the right, at its own expense, to assume the exclusive defense and control of any matter subject to indemnification by you, and you agree to cooperate fully in the defense of any such matter. You may not settle any claim subject to this Section without Amnetic's prior written consent if the settlement imposes any obligation or liability on any Amnetic Party.

15. Term, Suspension, and Termination

15.1 Term

These Terms are effective as of the date you first access or use the Marketplace and remain in full force and effect until terminated as provided herein.

15.2 Termination by You

You may terminate your account at any time by using any account deletion functionality made available through the Marketplace or by contacting Amnetic at legal@amnetic.ai.

Termination of your account does not affect any rights or obligations that accrued prior to termination, including payment obligations, completed Marketplace transactions, licenses granted in connection with purchased Data Products, pending disputes, or any provision of these Terms that by its nature is intended to survive termination.

Notwithstanding account deletion, Amnetic and its third-party service providers may retain identity verification records, transaction records, audit logs, and other information as required to comply with applicable legal or regulatory obligations, including Know Your Customer ("KYC"), Anti-Money Laundering ("AML"), sanctions compliance, tax reporting, litigation hold, or other recordkeeping requirements. Such retention is governed by the Privacy Policy and applicable law.

15.3 Suspension and Termination by Amnetic

Amnetic may, in its reasonable discretion, suspend, restrict, or terminate your access to the Marketplace, any Buyer Agent, or any Marketplace functionality, with or without notice, if Amnetic reasonably determines that: (a) you have violated these Terms or any Marketplace policy; (b) you have engaged in fraudulent, unlawful, deceptive, abusive, or harmful conduct; (c) you have attempted to circumvent the Marketplace, the Amnetic Wall, or any Marketplace security or technical safeguards, including through prompt injection, jailbreak attempts, reverse engineering, unauthorized extraction, scraping, or other prohibited conduct; (d) you have submitted or attempted to distribute prohibited, unlawful, infringing, or unauthorized Data Products; (e) you have failed to complete or maintain any required identity verification, Responsible Buyer verification, or other compliance requirements; (f) your account has generated excessive chargebacks, payment disputes, suspicious activity, or other indicators of fraud or abuse; (g) your conduct may expose Amnetic, its Users, or any third party to legal, financial, operational, security, or reputational risk; (h) such action is required by applicable law, regulation, court order, or the request of a governmental authority; or (i) your conduct otherwise threatens the security, integrity, availability, or operation of the Marketplace.

Nothing in this Section obligates Amnetic to provide advance notice before suspending or terminating an account where Amnetic reasonably believes immediate action is necessary to protect the Marketplace, its Users, or its systems.

15.4 Effect of Termination

Upon termination of your account: (a) all licenses granted to you under these Terms immediately terminate; (b) you must immediately cease all access to and use of the Marketplace; (c) pending Marketplace transactions may be completed, cancelled, refunded, or otherwise administered in accordance with these Terms and any applicable transaction terms; (d) Amnetic may remove or disable your access to Data Products, Buyer Agents, APIs, and other Marketplace functionality; (e) Amnetic may retain your information as required by applicable law or as reasonably necessary to comply with legal obligations, resolve disputes, prevent fraud, protect the Marketplace, or enforce these Terms; and (f) all provisions of these Terms that by their nature should survive termination, including those relating to intellectual property, payment obligations, disclaimers, limitation of liability, indemnification, dispute resolution, and general provisions, shall survive termination.

16. Modifications to Terms

Amnetic may modify these Terms from time to time. Amnetic will provide notice of any material changes by posting the updated Terms on the Marketplace and updating the "Last Updated" date above. For significant changes, Amnetic may also provide notice by email to the email address associated with your account or through other reasonable means.

Your continued access to or use of the Marketplace after any modification becomes effective constitutes your acceptance of the revised Terms. If you do not agree to the modified Terms, you must discontinue your use of the Marketplace and terminate your account.

Amnetic may also add, modify, suspend, or discontinue any feature, functionality, service, application programming interface (API), artificial intelligence capability, Buyer Agent functionality, Trust Score methodology, or other aspect of the Marketplace at any time, with or without notice and without liability to you.

17. Governing Law

These Terms and any dispute, claim, or controversy arising out of or relating to these Terms, the Marketplace, or your access to or use of the Marketplace shall be governed by and construed in accordance with the laws of the State of Washington, except where preempted by applicable federal law, without regard to its conflict of laws principles.

To the extent any dispute is not subject to arbitration pursuant to Section 18, you consent to the exclusive jurisdiction and venue of the state and federal courts located in King County, Washington, and waive any objection to such jurisdiction or venue.

18. Dispute Resolution; Binding Arbitration

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT OR PARTICIPATE IN A CLASS ACTION.

18.1 Informal Resolution

Before initiating arbitration or any legal proceeding, the party asserting a dispute must first provide the other party with written notice describing the nature of the dispute and the relief requested. The parties agree to make a good-faith effort to resolve the dispute informally for at least thirty (30) days after receipt of the notice before commencing arbitration.

Notices to Amnetic shall be sent to the contact information identified in these Terms or otherwise made available through the Marketplace.

18.2 Binding Arbitration

Except as provided in Section 18.4, any dispute, claim, or controversy arising out of or relating to these Terms, the Marketplace, your access to or use of the Marketplace, any Data Product, any Marketplace transaction, or the relationship between you and Amnetic shall be resolved exclusively through final and binding arbitration administered by JAMS in accordance with its applicable rules then in effect.

Arbitration shall be conducted before a single neutral arbitrator in Seattle, Washington, unless the parties mutually agree to another location or to conduct the arbitration remotely where permitted by the applicable rules.

The arbitrator shall have exclusive authority to resolve all disputes relating to the interpretation, applicability, enforceability, or formation of this arbitration agreement and may award any remedy that would otherwise be available in a court of competent jurisdiction, subject to the limitations of liability and other provisions contained in these Terms.

Judgment on the arbitrator's award may be entered in any court having jurisdiction.

18.3 Class Action and Jury Trial Waiver

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, YOU AND AMNETIC AGREE THAT ALL CLAIMS SHALL BE BROUGHT SOLELY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS, COLLECTIVE, CONSOLIDATED, MASS, PRIVATE ATTORNEY GENERAL, OR OTHER REPRESENTATIVE ACTION OR PROCEEDING. THE ARBITRATOR SHALL HAVE NO AUTHORITY TO CONSOLIDATE CLAIMS OR PRESIDE OVER ANY REPRESENTATIVE OR CLASS PROCEEDING.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, YOU AND AMNETIC ALSO WAIVE ANY RIGHT TO A TRIAL BY JURY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE MARKETPLACE.

18.4 Exceptions

Nothing in this Section prevents either party from: (a) seeking temporary, preliminary, permanent, or other equitable or injunctive relief in a court of competent jurisdiction to protect intellectual property rights, confidential information, Marketplace security, or other rights for which monetary damages would be an inadequate remedy; (b) seeking to enforce this arbitration agreement or any arbitration award in a court of competent jurisdiction; or (c) bringing an action in a court of competent jurisdiction to collect amounts owed to that party, including unpaid Marketplace fees or other payment obligations arising under these Terms or any Marketplace transaction, where such claim is not otherwise subject to mandatory arbitration under applicable law.

18.5 Opt-Out

You may opt out of this arbitration agreement within thirty (30) days of first accepting these Terms by sending written notice to legal@amnetic.ai with the subject line "Arbitration Opt-Out" and including your name, email address, and account information. Opting out of this arbitration agreement will not affect any other provision of these Terms.

19. General Provisions

19.1 Entire Agreement

These Terms, together with the Privacy Policy and any other policies, guidelines, or agreements expressly incorporated by reference, constitute the entire agreement between you and Amnetic regarding your access to and use of the Marketplace and supersede all prior or contemporaneous communications, negotiations, representations, understandings, and agreements, whether written or oral, relating to the subject matter of these Terms.

19.2 Severability

If any provision of these Terms is held to be invalid, unlawful, void, or unenforceable by a court of competent jurisdiction or arbitrator, that provision shall be construed or limited to the minimum extent necessary to make it enforceable, and the remaining provisions of these Terms shall remain in full force and effect.

19.3 No Waiver

Amnetic's failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision. Any waiver must be in writing and signed by an authorized representative of Amnetic to be effective.

19.4 Force Majeure

Amnetic shall not be liable for any delay or failure to perform resulting from causes beyond its reasonable control, including acts of God, natural disasters, fire, flood, earthquake, severe weather, war, terrorism, civil unrest, labor disputes, pandemics, public health emergencies, governmental actions, embargoes, sanctions, internet or telecommunications failures, cyberattacks, utility interruptions, failures of cloud providers or other Third-Party Services, or other events beyond Amnetic's reasonable control.

During any such event, Amnetic may, without liability, suspend, restrict, modify, or discontinue any portion of the Marketplace, including Buyer Agent functionality, Trust Score generation, identity verification services, payment functionality, APIs, or other Marketplace features, and may extend any performance deadlines for so long as the applicable event continues.

19.5 Assignment

You may not assign, delegate, or otherwise transfer any of your rights or obligations under these Terms without Amnetic's prior written consent. Amnetic may assign or transfer these Terms or any of its rights or obligations at any time, including in connection with a merger, acquisition, corporate reorganization, financing, or the sale of all or substantially all of its assets, without your consent or prior notice. These Terms shall be binding upon and inure to the benefit of the parties and their respective permitted successors and assigns.

19.6 No Third-Party Beneficiaries

These Terms are for the sole benefit of you and Amnetic and do not create any third-party beneficiary rights. Nothing in these Terms shall be construed to confer upon any third party any right, remedy, or claim under or relating to these Terms.

19.7 Notices

Amnetic may provide notices to you by email to the email address associated with your account, through the Marketplace, or by any other reasonable means permitted by applicable law. You may provide legal notices to Amnetic at legal@amnetic.ai (or such other email address as Amnetic may designate from time to time). Notices are deemed received upon transmission, provided no delivery failure notice is received.

20. International Use and Cross-Border Transactions

20.1 Global Marketplace Access

The Marketplace may be accessed from jurisdictions around the world. Amnetic makes no representation or warranty that the Marketplace, any Marketplace feature, any Data Product, or any transaction facilitated through the Marketplace is available, appropriate, or lawful in every jurisdiction. Users who access or use the Marketplace from outside the United States do so at their own initiative and are solely responsible for complying with all applicable laws and regulations.

20.2 Compliance with Local Laws

Each User is solely responsible for determining whether its access to and use of the Marketplace, including listing, licensing, purchasing, evaluating, or otherwise using Data Products, complies with all applicable laws, regulations, tax obligations, privacy and data protection laws, import and export restrictions, foreign exchange controls, licensing requirements, and other legal requirements applicable in its jurisdiction. Amnetic makes no representation or warranty regarding the legality of the Marketplace, any Data Product, or any Marketplace transaction in any particular jurisdiction.

20.3 Currency and Cross-Border Payments

Unless otherwise specified, the Marketplace's primary operating currency is United States Dollars (USD). Payments processed through third-party payment providers may be subject to currency conversion, foreign transaction fees, exchange rate fluctuations, withholding obligations, taxes, or other charges imposed by financial institutions, payment processors, or governmental authorities. Amnetic does not establish or control exchange rates and is not responsible for any fees, conversion costs, taxes, or losses arising from currency fluctuations or cross-border payment processing.

20.4 Export Controls and Sanctions

You may not access or use the Marketplace, list or purchase any Data Product, or otherwise engage in any Marketplace transaction if doing so would violate any applicable export control laws, economic sanctions, or trade restrictions, including those administered by the United States Department of Commerce, the U.S. Office of Foreign Assets Control ("OFAC"), or any other applicable governmental authority. By using the Marketplace, you represent and warrant that neither you nor any person or entity acting on your behalf is prohibited from accessing or using the Marketplace under any applicable export control, sanctions, or trade laws. Amnetic reserves the right to suspend, restrict, or terminate access to the Marketplace if it reasonably believes that a User's access or use may violate applicable export control laws, sanctions, or trade restrictions.

21. DMCA and Copyright Takedown Procedure

21.1 Amnetic's Policy

Amnetic respects the intellectual property rights of others and expects Users to do the same. Amnetic complies with the provisions of the Digital Millennium Copyright Act ("DMCA"), 17 U.S.C. § 512. If you believe that any User Content, Data Product, or other material available on or through the Marketplace infringes your copyright, you may submit a written DMCA takedown notice to Amnetic's designated DMCA agent.

21.2 DMCA Notice Requirements

A valid DMCA takedown notice must include:

• a physical or electronic signature of the copyright owner or a person authorized to act on the copyright owner's behalf;
• identification of the copyrighted work claimed to have been infringed, or, if multiple copyrighted works are covered by a single notice, a representative list of such works;
• identification of the material claimed to be infringing or to be the subject of infringing activity, together with information reasonably sufficient to permit Amnetic to locate the material (such as a URL, listing, or other description);
• your name, mailing address, telephone number, and email address;
• a statement that you have a good-faith belief that the disputed use is not authorized by the copyright owner, its agent, or the law; and
• a statement by you, made under penalty of perjury, that the above information in your notice is accurate and that you are the copyright owner or authorized to act on behalf of the copyright owner.

21.3 DMCA Agent Contact

DMCA notices should be sent to Amnetic's designated copyright agent at legal@amnetic.ai (or such other email address designated by Amnetic for copyright notices).

21.4 Counter-Notice

If you believe your content was removed as a result of mistake or misidentification, you may submit a written counter-notification to Amnetic's DMCA agent containing the information required under 17 U.S.C. § 512(g)(3). Upon receipt of a valid counter-notice, Amnetic may restore the removed content, subject to the DMCA process.

21.5 Repeat Infringers

Amnetic has adopted and reasonably implements a policy of terminating, in appropriate circumstances, the accounts of Users who are determined to be repeat infringers of copyrights or other intellectual property rights. Amnetic also reserves the right to suspend or terminate accounts upon a single instance of infringement where the circumstances warrant.

22. Electronic Communications

By creating an account or using the Marketplace, you consent to receive electronic communications from Amnetic, including notices, disclosures, agreements, receipts, invoices, transaction confirmations, security alerts, account updates, and other communications relating to the Marketplace, by email or through the Marketplace. You agree that all agreements, notices, disclosures, and other communications that Amnetic provides electronically satisfy any legal requirement that such communications be in writing, to the fullest extent permitted by applicable law.

You are responsible for maintaining a current and accurate email address associated with your account. You may opt out of non-essential marketing communications at any time by following the unsubscribe instructions contained in those communications. However, you acknowledge that Amnetic may continue to send transactional, security-related, account-related, legal, and other operational communications that are necessary to provide the Marketplace or comply with applicable law.

23. Beta Features and Marketplace Changes

23.1 Beta Features

Amnetic may, from time to time, make available beta, preview, experimental, or early-access features, services, APIs, Buyer Agents, artificial intelligence models, Trust Score methodologies, Fit Verdicts, or other Marketplace functionality (collectively, "Beta Features").

Beta Features are provided on an "as is" and "as available" basis without any warranties, representations, guarantees, or service level commitments of any kind. Beta Features may contain errors, defects, or other issues and may be modified, suspended, or discontinued at any time without notice or liability. Your use of Beta Features is voluntary and entirely at your own risk.

23.2 Marketplace Changes

Amnetic reserves the right to add, modify, suspend, discontinue, or replace any feature, functionality, service, API, Buyer Agent, artificial intelligence model, Trust Score methodology, Fit Verdict, or other aspect of the Marketplace at any time, with or without notice and without liability to you or any third party. Amnetic may also introduce new Marketplace features or services that are subject to additional terms, policies, or guidelines, which will be presented to you at the time such features or services are made available.
